Terms of Participation

1. Operator and scope

Talents.City is operated by Evolution.Life LLC, 1309 Coffeen Ave., STE 1200, Sheridan, WY 82801, United States (the “Company,” “we,” “us”). These Terms govern applications for and participation in Talents.City, including its website, residences, events, community communications, matching and introduction services, programs and related online or offline experiences (the “Services”).

2. Eligibility and electronic acceptance

You must be at least 18 and legally able to enter a binding agreement. By selecting the acceptance checkbox and submitting an application, you confirm that you have read and agree to these Terms and the Partnership Contribution Agreement, acknowledge the Privacy Policy, consent to electronic contracting and intend your action to serve as an electronic signature. Submission does not guarantee admission.

3. What is included

The stated participation price includes accommodation in the selected room or villa, morning practices, and access to the program, including hackathons, collaboration sessions, networking and community activities.

4. What is not included

Meals, groceries, kitesurfing lessons, instructor fees, electricity payments, travel, visas, insurance, medical expenses and personal expenses are not included unless expressly stated in writing.

5. Third-party services

Some services may be provided by independent third parties, including property owners, real estate agents, instructors, cafes, transport providers and local vendors. Talents.City may coordinate introductions or logistics, but third-party services are governed by their own terms, availability and local rules.

6. Payments, cancellations and local costs

Prices, deposits, due dates, cancellation and refund terms for a specific stay or program will be disclosed before payment or confirmed in writing. Unless a specific written offer states otherwise, payments already applied to delivered Services or non-refundable third-party reservations are not refundable except where required by law. Accommodation payment does not guarantee access to private projects, teams, investments, clients or any business result.

7. Community introductions and the 3% contribution

The complete definitions, exclusions, allocation, reporting and payment rules are in the Talents.City Partnership Contribution Agreement, which is incorporated into these Terms. Talents.City is a community and connection platform, not a broker, investment adviser, fiduciary or party to participant transactions. Regulated transactions are excluded unless separately documented through appropriately licensed parties.

8. AI-assisted features and human review

We may use artificial intelligence and machine-learning tools to summarize applications, support profile analysis, recommend potential connections, assist communications, detect misuse and improve the Services. AI output can be incomplete, inaccurate or biased and is informational only. Admission and material financial determinations are not intended to be made solely by AI; you may request human review. 9. Participant content and confidentiality

You retain ownership of information and materials you submit. You grant the Company a limited, non-exclusive right to host, process, reproduce and use them only as reasonably necessary to review your application, provide and improve the Services, facilitate requested matching and comply with law. Community access does not authorize you to copy, publish or exploit another person’s confidential information, identity, image or materials.

10. Conduct and safety

Participants must act respectfully toward other residents, hosts, staff, vendors and the local community, and must follow safety instructions, house rules and applicable law. Activities such as sports, ocean activities and kitesurfing may involve risk and should be undertaken responsibly.

11. No professional advice or guarantees

Program content, community discussions and informal recommendations are for general informational purposes only and are not legal, medical, financial, tax, immigration or investment advice.

12. Independent decisions

You are responsible for evaluating people, opportunities and risks and for obtaining professional advice before entering any arrangement. The Company does not verify every statement made by participants and does not guarantee identity, competence, compatibility, solvency, legality, performance, safety, profitability or outcome.

13. Disclaimer and limitation of liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” The Company disclaims implied warranties and is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data or losses arising from participant dealings or third-party services. The Company’s aggregate liability concerning the Services will not exceed the greater of USD 100 or the amount you paid the Company for the specific Service during the preceding 12 months. Non-waivable consumer rights remain unaffected.

14. Indemnity

To the extent permitted by law, you agree to indemnify the Company and its officers, employees and service providers against third-party claims and reasonable costs arising from your unlawful conduct, breach of these Terms, infringement of another person’s rights or your own business arrangements with other participants.

15. Suspension and termination

We may refuse an application or suspend participation where reasonably necessary for safety, fraud prevention, legal compliance, non-payment or material breach. Provisions concerning accrued payments, confidentiality, intellectual property, disputes and qualifying collaborations survive termination where their nature requires it.

16. Governing law and disputes

These Terms are governed by Wyoming law, without regard to conflict-of-law rules. Subject to non-waivable rights under applicable law, proceedings must be brought in the state or federal courts located in Wyoming. Before filing, the parties will attempt in good faith to resolve the dispute through written notice and 30 days of negotiation.

17. Electronic records, changes and severability

Electronic records and signatures may be used to form and evidence this agreement. We may retain the accepted version, consent text, timestamp, language, IP address and user agent. You may save or print these Terms and request an electronic copy. If a provision is unenforceable, the remainder stays effective. Material changes to the partnership contribution require new affirmative acceptance; other updates apply prospectively after notice as permitted by law.
